1. TERMS & CONDITIONS

1. About E-Mega

These Terms and Conditions apply to the use of www.emega.co.nz and to goods and services supplied by E-Mega.

Oric Holding T/A E-Mega operates in trade in New Zealand and supplies electric bikes, electric scooters, parts, accessories, servicing, repairs, diagnostics and battery-related services.

E-Mega clearly operates in trade for the purposes of New Zealand consumer law. Online traders must make their trader status clear where customers can purchase goods or services.

2. Acceptance of These Terms

By purchasing goods or services from E-Mega, placing an order through our website, booking workshop work or otherwise engaging E-Mega to provide services, you agree to these Terms and any applicable Returns, Shipping, Workshop or Battery Service policies.

Nothing in these Terms limits or excludes any rights or remedies that cannot lawfully be limited or excluded under the Consumer Guarantees Act 1993, Fair Trading Act 1986 or other applicable New Zealand law. Consumer guarantees apply independently of store or manufacturer warranties.

3. Prices

Unless otherwise stated:

  • prices are in New Zealand dollars;
  • GST is included where applicable;
  • freight, delivery, installation or other additional charges may be shown separately.

We take reasonable steps to ensure pricing is accurate.

If an obvious pricing, description or system error occurs, E-Mega may contact you before supply and give you the opportunity to proceed at the correct price or cancel the affected order.

4. Product Information

E-Mega takes reasonable care to ensure product descriptions, specifications, photographs and other product information are accurate.

Colours and appearance may vary slightly because of photography, screen settings, lighting or manufacturer changes.

Manufacturers may change specifications from time to time. Where we become aware of a material change affecting your order, we will endeavour to advise you before supply.

Nothing in this section limits E-Mega's legal obligations concerning product descriptions or representations.

5. Orders and Availability

All orders are subject to availability.

E-Mega may decline or cancel an order where reasonably necessary, including where:

  • stock is unavailable;
  • an obvious pricing or listing error has occurred;
  • payment cannot be authorised;
  • fraud or unlawful activity is reasonably suspected;
  • E-Mega cannot lawfully or safely supply the product.

If E-Mega cancels an order after receiving payment and the relevant goods or services have not been supplied, the amount paid for that cancelled portion will be refunded.

6. Payment

Payment must be made through one of the payment methods accepted by E-Mega.

Workshop and repair invoices are payable in accordance with the booking, quote, job record or invoice.

7. Consumer Guarantees

Goods and services supplied to consumers are subject to applicable New Zealand consumer guarantees.

Goods supplied by a trader must meet applicable guarantees concerning matters such as acceptable quality, safety, durability, fitness for purpose and correspondence with description.

Services must be provided with reasonable care and skill, be fit for an agreed purpose, be completed within a reasonable time where no timeframe has been agreed, and be charged at a reasonable price where the price has not previously been agreed.

8. Manufacturer Warranties

Some products may carry a manufacturer's warranty.

Where appropriate, E-Mega may assist customers with legitimate warranty claims for products purchased from E-Mega.

A manufacturer's warranty is additional to and does not replace rights a consumer may have under New Zealand law.

9. Appropriate Use

Customers must use electric bikes, electric scooters, batteries, chargers and accessories in accordance with:

  • manufacturer instructions;
  • relevant safety requirements;
  • applicable New Zealand law;
  • instructions supplied by E-Mega.

Where a fault or damage was caused by misuse, unauthorised modification, accident or failure to follow appropriate instructions, this may affect whether a remedy is available. The CGA does not require a remedy where customer misuse or alteration caused the problem.

10. Third-Party Products

Some products supplied by E-Mega are manufactured by third parties.

Where E-Mega sells those products directly to a consumer, the existence of a manufacturer or distributor does not remove E-Mega's responsibilities as retailer where New Zealand consumer law applies.

11. Website Availability

E-Mega aims to maintain accurate and available website services but does not guarantee uninterrupted access.

The website may occasionally be unavailable for maintenance, security or technical reasons.

12. Intellectual Property

Unless otherwise stated, E-Mega website content, including original text, photographs, graphics, logos and branding, is owned by or licensed to E-Mega.

Content must not be reproduced for commercial purposes without permission except where permitted by law.

13. Business-to-Business Transactions

Where goods or services are acquired for genuine business purposes, E-Mega and another business may separately agree in writing to contract out of specified provisions of consumer legislation where New Zealand law allows this and the statutory requirements are satisfied.

For the Fair Trading Act, contracting out is restricted to qualifying transactions between parties in trade, must be in writing and must be fair and reasonable.

No consumer transaction is intended to be contracted out of consumer legislation by these general website Terms.

14. Changes to These Terms

E-Mega may update these Terms from time to time.

The version applying to a transaction will ordinarily be the version in effect when that transaction was entered into, unless otherwise required by law.

15. Governing Law

These Terms are governed by New Zealand law.

2. RETURNS, REFUNDS & CONSUMER GUARANTEES POLICY

Our Commitment

E-Mega is committed to meeting its obligations under New Zealand consumer law.

Nothing in this policy limits your rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

Change-of-Mind Returns

E-Mega is not legally required to provide a refund or exchange simply because a customer:

  • changes their mind;
  • chooses the wrong product;
  • no longer requires a product;
  • finds a cheaper alternative elsewhere.

Unless E-Mega expressly agrees otherwise, change-of-mind returns are not accepted.

This does not affect your rights where goods fail to meet applicable consumer guarantees.

NZ Consumer Protection confirms that businesses generally do not have to provide refunds or exchanges simply because a customer changes their mind.

Faulty Products

If a product purchased from E-Mega does not meet the guarantees required under applicable New Zealand consumer law, please contact us.

Depending on the circumstances and seriousness of the problem, remedies may include:

  • repair;
  • replacement;
  • refund;
  • compensation for qualifying loss.

The appropriate legal remedy depends on the nature of the failure.

Our Right to Assess a Product

E-Mega may reasonably inspect, diagnose or test a product before determining:

  • whether a fault exists;
  • the likely cause of the fault;
  • whether a consumer guarantee has been breached;
  • the appropriate remedy.

Consumer Protection specifically recommends that businesses investigate complaints before determining what remedy, if any, is appropriate.

Diagnostic Charges

Where testing establishes that a problem was not caused by a breach of a consumer guarantee—for example where it resulted from misuse, accident, unauthorised modification or customer-caused damage—a reasonable diagnostic fee may apply where that fee was disclosed before assessment.

No diagnostic charge will be used to prevent a customer from exercising valid statutory rights.

Manufacturer Warranty Periods

A manufacturer's warranty period does not replace or limit statutory consumer rights.

A consumer may still have rights after a manufacturer's stated warranty expires depending on the circumstances.

Customer-Caused Damage

A remedy may not be available where the problem was caused by matters including:

  • misuse;
  • impact or accident;
  • unauthorised modification;
  • use contrary to manufacturer instructions;
  • inappropriate charging equipment;
  • work performed by another person that caused the fault;
  • damage occurring after delivery.

Each claim will be assessed individually.

Used, Demonstration and Clearance Products

Where E-Mega sells used or demonstration goods in trade, applicable statutory guarantees will be considered in light of factors including the item's:

  • age;
  • price;
  • disclosed condition;
  • previous use;
  • faults expressly disclosed before purchase.

A customer cannot reasonably expect a used product to have the same condition as an equivalent new product, but applicable consumer guarantees are not automatically removed merely because goods are second-hand.

Proof of Purchase

E-Mega may request reasonable evidence that the product was purchased from us, such as:

  • receipt;
  • invoice;
  • order confirmation;
  • bank or card record;
  • other reasonable evidence of purchase.

Return Transport

Please contact E-Mega before sending a product back.

Where E-Mega has a legal obligation to provide a remedy, transport and return arrangements will be handled consistently with applicable New Zealand law.

Do not courier potentially unsafe lithium batteries without first contacting us.

3. SHIPPING & DELIVERY POLICY

Shipping Within New Zealand

E-Mega provides delivery, freight and collection options depending on the product, destination and applicable transport requirements.

Available delivery options and charges will be shown at checkout or communicated before the order is confirmed.

Delivery Timeframes

Delivery timeframes provided by E-Mega are estimates unless a specific delivery date has expressly been agreed.

Where no timeframe has been agreed, goods will be delivered within a reasonable time as required by applicable New Zealand consumer law. The CGA includes delivery guarantees for goods supplied by traders.

E-Bikes and E-Scooters

Electric bikes and electric scooters may require:

  • oversized freight;
  • specialist transport;
  • depot collection;
  • partial assembly;
  • additional delivery arrangements.

Any material delivery requirements will be communicated where applicable.

Christchurch Collection

Where collection is available, customers will be advised when an order is ready.

Collection is from E-Mega or another location agreed with the customer.

E-Mega may request proof of identity or order confirmation before releasing high-value goods.

Lithium Batteries

Lithium batteries can be subject to specialist transport and dangerous-goods requirements.

Consequently:

  • some batteries cannot be sent using normal courier services;
  • specialist freight may be required;
  • certain destinations may not be available;
  • damaged or unsafe batteries may not be accepted for transport;
  • workshop drop-off or collection may be required.

Do not send a swollen, leaking, overheated, physically damaged, burnt or otherwise potentially unsafe lithium battery to E-Mega without contacting us first.

Freight Charges

Applicable shipping charges will be communicated before purchase where reasonably practicable.

Additional charges may apply to circumstances such as:

  • rural delivery;
  • oversized freight;
  • specialist battery transportation;
  • customer-requested redelivery;
  • delivery difficulties caused by materially incorrect customer-supplied information.

Delivery Address

Customers are responsible for supplying accurate delivery and contact information.

Please check your delivery address carefully before submitting your order.

Contact us as quickly as possible if information needs to be corrected.

Damage During Delivery

If goods arrive visibly damaged:

  1. take photographs of the goods and packaging;
  2. retain the packaging where reasonably possible;
  3. contact E-Mega promptly.

Prompt notification assists E-Mega in investigating the matter with the carrier.

Nothing in this clause limits your rights under applicable consumer legislation.

Missing Deliveries

If an order does not arrive as expected, contact E-Mega.

We will make reasonable enquiries with the applicable carrier and deal with the delivery in accordance with our obligations under New Zealand law.

Delivery Delays

Events outside E-Mega's reasonable control may occasionally cause delays, including severe weather, transport disruption, carrier delays or supply-chain interruptions.

We will communicate material delays where reasonably practicable.

Nothing in this policy removes rights or remedies available under applicable New Zealand law.

5. E-BIKE & E-SCOOTER WORKSHOP SERVICE TERMS

2. Scope

These terms apply when E-Mega accepts an e-bike, e-scooter, battery, component or related equipment for:

  • inspection;
  • diagnostics;
  • maintenance;
  • servicing;
  • repair;
  • testing.

3. Consumer Rights

E-Mega will provide workshop services with the level of reasonable care and skill required under applicable New Zealand law.

These Workshop Terms do not limit rights provided by the Consumer Guarantees Act 1993.

4. Diagnosis

A booking does not mean that the cause of a fault is already known.

Diagnosis may require:

  • disassembly;
  • electrical testing;
  • diagnostic equipment;
  • fault-code analysis;
  • battery testing;
  • component testing;
  • controlled test riding;
  • further technical investigation.

A diagnostic fee may apply where disclosed before the work is undertaken.

5. Authority to Inspect and Test

By leaving equipment with E-Mega, you authorise E-Mega to conduct reasonable inspection and testing necessary to investigate the reported problem.

6. Quotes

A quote is a price offered for a defined scope of work.

Once accepted, E-Mega will not charge more than the quoted amount unless:

  • you authorise additional work; or
  • the scope changes and a variation is agreed.

NZ Consumer Protection distinguishes fixed quotes from estimates and states that accepted quotes cannot generally be exceeded without an agreed variation.

7. Estimates

An estimate is E-Mega's reasonable assessment of likely cost based on information available at that time and is not necessarily a fixed price.

If testing or disassembly reveals material additional work, we will seek your approval before proceeding beyond the agreed scope.

8. Hidden Faults

E-bikes and scooters can contain problems that cannot reasonably be identified until components are dismantled or testing is performed.

If significant additional work becomes necessary, E-Mega will attempt to contact you before proceeding.

9. Replacement Parts

Depending on availability and customer agreement, replacement parts may include:

  • original equipment parts;
  • manufacturer-approved parts;
  • suitable compatible aftermarket parts.

10. Customer-Supplied Parts

E-Mega may decline to install customer-supplied components.

Where E-Mega agrees to install them:

  • the customer is responsible for the suitability and inherent quality of the supplied part;
  • E-Mega remains responsible for performing its installation service with reasonable care and skill.

11. Pre-Existing Damage

E-Mega is not responsible for damage or faults that existed before equipment was delivered to us.

Disassembly may reveal previously hidden wear or damage.

12. Modified Vehicles

Customers must disclose known modifications including modifications to:

  • battery systems;
  • motors;
  • controllers;
  • firmware;
  • speed settings;
  • chargers;
  • wiring;
  • drivetrain components.

E-Mega may refuse work where it reasonably considers the vehicle or modification unsafe, unlawful or technically inappropriate.

13. Proprietary Systems

Some brands use proprietary software, encrypted electronic systems, manufacturer accounts or restricted replacement components.

E-Mega cannot guarantee that every make, model or system can be diagnosed or repaired.

14. Completion Time

Completion dates are estimates unless expressly agreed otherwise.

Timing may be affected by:

  • diagnostic complexity;
  • parts availability;
  • freight;
  • manufacturer support;
  • additional faults.

Where no timeframe is agreed, services will be performed within a reasonable time in accordance with applicable consumer law.

15. Payment

Payment is due on completion unless otherwise agreed.

16. Collection and Storage

Customers should collect completed equipment within a reasonable period after being advised that it is ready.

Any storage fee will only apply where its amount and commencement have been disclosed to the customer.

E-Mega will only dispose of, sell or otherwise deal with uncollected goods in accordance with applicable New Zealand law.

17. Test Riding

Where reasonably necessary for diagnosis or quality assurance, the customer authorises E-Mega to perform a reasonable test ride.

Testing will only be undertaken where E-Mega considers the equipment sufficiently safe.

18. Workmanship and Consumer Rights

Any E-Mega workmanship warranty shown on an invoice or service record is additional to applicable statutory consumer rights.

6. BATTERY DIAGNOSTICS, REPAIR & REPACKING TERMS

2. Battery Services

These terms apply to services including:

  • battery diagnostics;
  • voltage testing;
  • controlled load testing;
  • capacity testing;
  • cell-group testing;
  • cell balancing;
  • BMS assessment;
  • battery repair;
  • battery repacking/rebuilding;
  • battery reports;
  • replacement assessment.

3. Battery Assessment

A battery assessment determines, as far as reasonably practicable, the condition and behaviour of a battery at the time of testing.

Assessment does not guarantee that a battery can be safely or economically repaired.

Depending on the findings, E-Mega may recommend:

  • no work;
  • additional testing;
  • balancing;
  • repair;
  • repacking;
  • replacement.

4. Diagnostic Charges

Battery testing is a specialist diagnostic service.

A diagnostic charge may apply even where:

  • the battery cannot be repaired;
  • replacement is recommended;
  • the customer elects not to proceed with further work.

Any applicable diagnostic fee will be disclosed before the assessment.

5. Authority to Test

By leaving a battery with E-Mega, you authorise the reasonable testing required for the agreed diagnostic service.

This may include:

  • charging;
  • controlled discharge;
  • load testing;
  • voltage measurements;
  • capacity testing;
  • opening the battery enclosure;
  • inspecting cells;
  • examining wiring;
  • assessing the Battery Management System.

Material work outside the agreed diagnostic scope will require additional customer approval.

6. Unsafe Batteries

E-Mega may refuse to accept, store, charge, discharge, open, test or repair any battery reasonably considered unsafe.

This can include a battery that is:

  • swollen;
  • leaking;
  • excessively hot;
  • severely physically damaged;
  • burnt;
  • producing an unusual smell;
  • significantly water damaged;
  • involved in a serious impact;
  • showing signs of internal failure.

Customers must disclose any known accident, impact, water exposure, fire or unusual battery behaviour.

7. Cell Balancing

Cell balancing may be appropriate where otherwise serviceable cell groups have become imbalanced.

Cell balancing cannot restore cells that are materially degraded or damaged.

E-Mega does not guarantee that balancing will restore a battery to its original capacity, range or performance.

8. Battery Repacking

Where suitable, E-Mega may offer to repack or rebuild a battery using suitable replacement cells and components.

Repacking may be declined where:

  • the casing is unsafe;
  • the battery has suffered serious damage;
  • proprietary electronics prevent an appropriate rebuild;
  • a suitable BMS cannot be used;
  • compatible parts are unavailable;
  • E-Mega considers rebuilding unsafe or uneconomic.

9. Rebuild Specification

The battery rebuild specification will be agreed based on the original system and proposed repair.

Material changes involving matters such as:

  • operating voltage;
  • cell chemistry;
  • capacity;
  • BMS;
  • connectors

will be discussed with the customer where applicable.

10. Battery Capacity and Range

Real-world e-bike or e-scooter range depends on more than battery capacity.

Factors include:

  • rider weight;
  • terrain;
  • temperature;
  • wind;
  • tyre pressure;
  • riding speed;
  • power/assist setting;
  • motor condition;
  • vehicle condition.

Consequently, E-Mega cannot guarantee a particular riding distance solely from battery capacity specifications.

11. Load Testing

Load testing measures battery behaviour under controlled test conditions.

The results represent performance at the time and under the conditions tested.

Battery testing cannot guarantee future battery life or predict every possible future failure.

12. Battery Reports

Where E-Mega provides a battery report, it may contain information including:

  • voltage;
  • load-test performance;
  • voltage sag;
  • capacity results where measured;
  • cell-group observations;
  • faults identified;
  • recommendations.

Reports reflect the information reasonably available from the testing undertaken.

13. Proprietary Battery Systems

Some battery systems incorporate proprietary:

  • BMS hardware;
  • communication systems;
  • firmware;
  • manufacturer authentication;
  • smart charging technology.

These systems may restrict the ability to repair or repack a battery.

14. Chargers

Customers should use only chargers suitable for their battery system.

E-Mega may request the charger when diagnosing charging or battery faults.

Use of an incompatible or faulty charger can damage a battery and may affect whether a statutory remedy is available if that misuse caused the problem.

15. Existing Manufacturer Warranty

Opening, modifying or rebuilding a battery may affect a manufacturer's contractual warranty.

Customers should consider any manufacturer warranty before authorising battery modifications.

Nothing in this clause removes statutory consumer rights.

16. Battery Transportation

Do not courier a potentially unsafe lithium battery to E-Mega without first contacting us.

Specialist transport arrangements may be required.

17. Repair Quality and Consumer Guarantees

E-Mega will perform battery services with reasonable care and skill.

Any specific E-Mega workmanship warranty is additional to rights available under applicable New Zealand consumer law.

18. After-Service Safety

Stop using or charging a battery and contact E-Mega if it later develops symptoms such as:

  • swelling;
  • leaking;
  • excessive heat;
  • smoke;
  • unusual smell;
  • severe physical damage;
  • repeated unexpected shutdown.
